These Terms of Service (“Terms”) govern your access to and use of the website operated by LocalStar Digital (“we,” “us,” or “our”) at localstardigital.com, as well as any services we provide. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or services.

1. Services

LocalStar Digital provides digital marketing services including, but not limited to, Search Engine Optimization (SEO), Generative Engine Optimization (GEO), AI marketing systems, web design and development, paid advertising management, strategy and messaging, and video production.

The specific scope, deliverables, timelines, and fees for any engagement will be outlined in a separate service agreement or statement of work (SOW) agreed upon by both parties before work begins. These Terms apply to all engagements unless explicitly overridden by a signed service agreement.

2. SMS/Text Messaging Program

Program Description

LocalStar Digital offers an optional SMS messaging program. If you provide your phone number and opt in via our contact form, you may receive:

• Transactional messages: Appointment confirmations, service updates, account notifications, and follow-ups related to your inquiry.
• Marketing messages: Promotional offers, tips, and information about our services (only with your separate, explicit opt-in consent).

Opting Out

You may opt out of SMS messages at any time by replying STOP to any message you receive from us. After opting out, you will receive a one-time confirmation message and no further messages of that type. To resume messages, you may opt in again via our contact form.

Message & Data Rates

Message frequency varies. Standard message and data rates from your wireless carrier may apply. LocalStar Digital is not responsible for any charges from your carrier related to SMS messages.

Carrier Liability

Wireless carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission by your wireless carrier and their applicable terms and conditions.

Eligibility

Our SMS messaging program is available to users aged 18 and older. By opting in, you confirm that you are at least 18 years of age and the account holder or authorized user of the phone number provided.

3. Use of Our Website

You agree to use our website only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the website in any way that violates applicable federal, state, local, or international law or regulation
• Attempt to gain unauthorized access to any part of the website, server, or any connected system
• Transmit any malicious code, viruses, or other harmful material
• Use automated systems (bots, scrapers) to access the website in a manner that sends more requests than a human could reasonably produce

Client Work Product

Unless otherwise specified in a service agreement, upon full payment, clients receive ownership of custom deliverables created specifically for them, including website designs, written content, and creative assets. We retain the right to use general techniques, methodologies, know-how, and non-confidential elements of our work. We may also showcase work in our portfolio unless otherwise agreed in writing.

5. Client Responsibilities

When engaging our services, you agree to:

• Provide timely access to necessary accounts, platforms, and materials required for service delivery
• Provide accurate and complete information about your business, products, and services
• Review and provide feedback on deliverables within agreed timelines
• Ensure that any materials you provide (text, images, logos) do not infringe on third-party intellectual property rights
• Maintain the confidentiality of any account credentials we share with you

6. Payment Terms

Payment terms, including fees, billing frequency, and payment methods, will be specified in your service agreement. Unless otherwise agreed:

• Setup fees are due before work begins
• Monthly retainers are billed on the first of each month and due within 15 days
• Project-based work is billed according to the milestones defined in the SOW
• Late payments may incur a fee of 1.5% per month on the outstanding balance
• We reserve the right to pause services for accounts more than 30 days past due

7. Term and Termination

Service engagements are subject to the commitment terms specified in your service agreement. After the initial commitment period, services continue on a month-to-month basis and may be terminated by either party with 30 days' written notice.

Upon termination, we will provide you with all completed deliverables and assist with a reasonable transition period. You remain responsible for any fees incurred through the termination date. We may terminate services immediately if you breach these Terms or your service agreement.

8. Results and Guarantees

While we use proven strategies and industry best practices, we cannot guarantee specific results, rankings, traffic levels, or revenue outcomes from our SEO, GEO, or marketing services. Search engine algorithms, AI platform citation behavior, and market conditions are outside of our control. Any case studies, testimonials, or performance metrics shared on our website represent individual client outcomes and are not guarantees of future results. We commit to providing transparent reporting and continuously optimizing our strategies for the best possible performance.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the engagement. This includes, but is not limited to, business strategies, client data, analytics, financial information, and trade secrets. Confidentiality obligations survive termination of services for a period of two (2) years.

10. Limitation of Liability

To the maximum extent permitted by law, LocalStar Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with our website or services.

Our total aggregate liability for any claims arising from or related to our services shall not exceed the total fees paid by you to us during the six (6) months immediately preceding the claim. This limitation applies regardless of the form of action, whether in contract, tort, or otherwise.

11. Indemnification

You agree to indemnify, defend, and hold harmless LocalStar Digital and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of our website; (b) your violation of these Terms; (c) any materials you provide to us that infringe on third-party rights; or (d) your violation of any applicable law or regulation.

12. Disclaimer of Warranties

Our website and services are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the website will be uninterrupted, secure, or error-free.

13. Dispute Resolution

Any dispute arising out of or relating to these Terms or our services shall first be attempted to be resolved through good faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue mediation or binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the State of Minnesota, and the arbitrator's decision shall be final and binding.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Minnesota.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Last updated” date at the top of this page. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
